TERMS AND CONDITIONS OF SALE

Effective Date: January 1, 2026

These Standard Terms and Conditions of Sale (“Terms”) govern all services and deliverables provided by iGlobal Services (“Company,” “we,” “us,” or “our”) to the client (“Client”).

By accepting a proposal, invoice, subscription, or engaging our services, Client agrees to these Terms in addition to our publicly available legal policies.

1. Scope of Services

iGlobal Services provides consulting, staffing, offshore team management, immigration advisory coordination, study-abroad support, professional training, certification programs, and related business services.

The specific scope, deliverables, timelines, and fees shall be defined in the applicable proposal, agreement, or invoice.

2. Incorporation of Legal Policies

These Terms are governed in conjunction with the following policies, which are incorporated by reference:

In the event of any conflict, these Standard Terms and Conditions of Sale shall govern commercial payment and service obligations.

3. Fees & Payment Terms

Invoices are due within fourteen (14) days of issuance unless otherwise agreed in writing.
Late payments may incur interest at 1.5% per month (18% annually) or the maximum permitted by law. iGlobal Services reserves the right to suspend or terminate services for overdue accounts.
Client agrees to reimburse reasonable collection costs and legal fees incurred in recovering unpaid amounts.
All payments are non-refundable except as expressly stated in the Refund & Cancellation Policy.

4. Staffing & Placement Services

For staffing and placement engagements:

  • - Placement fees are earned upon candidate acceptance of employment unless otherwise stated.
  • - Replacement guarantees, if offered, are governed strictly by the written agreement.
  • iGlobal Services does not guarantee employment performance, retention, or business outcomes.

    5. Offshore Teams & Consulting Services

Offshore teams and consulting services are provided on a professional best-efforts basis. Deliverables depend on client cooperation, timely feedback, and accurate information provided by the Client.

Client retains responsibility for final operational decisions and implementation.

6. Immigration & Advisory Disclaimer

iGlobal Services provides advisory support and coordination services. We are not a law firm and do not provide legal representation unless explicitly engaged through a licensed partner attorney.

Approval of visas, permits, admissions, or governmental applications is solely at the discretion of the relevant authorities.

7. Intellectual Property

Unless otherwise agreed in writing and subject to full payment:

  • Client-owned deliverables specifically created under the engagement transfer to Client.
  • All proprietary methodologies, templates, frameworks, systems, and pre-existing intellectual property remain the sole property of iGlobal Services.

    8. Confidentiality & Data Protection

Both parties agree to maintain confidentiality of proprietary and sensitive information.

Processing of personal data shall be governed by our Data Processing Addendum and Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, iGlobal Services’ total liability arising out of any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.

Under no circumstances shall iGlobal Services be liable for indirect, incidental, consequential, or lost-profit damages.

10. Force Majeure

iGlobal Services shall not be liable for delays or failures resulting from events beyond reasonable control, including but not limited to governmental actions, regulatory changes, labor disputes, pandemics, or technological disruptions.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

12. Entire Agreement

These Terms, together with any signed agreement, proposal, and referenced legal policies, constitute the entire agreement between the parties.
